Subscription & Billing Policy Last updated: 18 July 2026 Keeping things simple This policy explains how On Pulse subscriptions, payments, renewals, cancellations and refunds work. By purchasing or using a paid On Pulse subscription, you agree to this Subscription & Billing Policy as well as our Terms & Conditions and Privacy Policy. 1. On Pulse subscriptions On Pulse is generally provided through a paid subscription. Your subscription may include access to selected platform features, digital wallet cards, customer engagement tools, support, storage, usage limits or other services described in your plan. Available plans, features, limits and prices may vary and will be shown on the On Pulse website, within the platform or in a written proposal provided to you. You are responsible for choosing a plan that suits your business, organisation or intended use. 2. Starting your subscription Your subscription begins when: your payment is successfully processed; you accept a written proposal or service agreement; a trial converts to a paid subscription; or we otherwise confirm that your paid access has started. You must provide accurate billing and contact information and keep these details up to date. 3. Subscription periods Subscriptions may be billed monthly, annually or for another period shown when you subscribe. Your billing cycle begins on the date your paid subscription starts unless another billing date is clearly stated. Some subscriptions may include a minimum term, setup period, promotional period or separately agreed commitment. If a minimum term applies, this will be clearly explained before you purchase. 4. Automatic renewals Unless otherwise stated, subscriptions automatically renew at the end of each billing period. By purchasing a recurring subscription, you authorise us or our payment provider to charge your selected payment method for each renewal until the subscription is cancelled. You are responsible for cancelling before your next renewal date if you do not want the subscription to continue. We may send renewal reminders where practical, but you remain responsible for managing your subscription and renewal date. 5. Prices and taxes Subscription prices will be shown when you purchase or upgrade your plan. Prices may be displayed in Australian dollars or another currency stated at checkout. Unless clearly stated otherwise, prices include any Australian Goods and Services Tax that we are required to collect. You are responsible for any other taxes, duties, bank charges, currency conversion fees or transaction fees that apply to your purchase. 6. Changes to subscription prices We may change subscription prices from time to time to reflect changes in: platform features or services; technology, hosting or provider costs; security, compliance or support requirements; taxes or regulatory obligations; currency movements; or our general business costs. Where a price change affects an existing recurring subscription, we will provide reasonable notice before the new price applies. If you do not agree to the new price, you may cancel your subscription before the next renewal at the new rate. 7. Payment methods Payments may be processed by third-party payment providers. You authorise the relevant payment provider to store and charge your selected payment method in accordance with its own terms and privacy policy. We generally do not store complete payment card details. You are responsible for ensuring that your payment method remains valid and has sufficient funds available. 8. Failed or overdue payments If a payment fails or becomes overdue, we may: retry the payment; contact you about the outstanding amount; restrict access to paid features; suspend your account; remove access to cards, programs or services; charge any reasonable recovery costs permitted by law; or close the account if the amount remains unpaid. We may provide a short grace period, but we are not required to continue providing paid services while payment remains overdue. You remain responsible for any amount owed for a subscription period that has already started. 9. Trials and promotional periods We may offer free trials, introductory pricing, discounts, credits or promotional access. Any special conditions, expiry dates, usage limits or eligibility requirements will be explained when the offer is made. Unless otherwise stated, a trial may automatically convert to a paid subscription at the end of the trial period. If payment details are required for a trial, you must cancel before the trial ends if you do not want to be charged. Promotional offers: may be available only to selected customers; may not be combined with other offers; may apply only for a limited period; may be limited to one use per customer or business; and may be changed or withdrawn where permitted by law. 10. Upgrading or changing your plan You may be able to upgrade, downgrade or change your subscription through the platform or by contacting us. An upgrade may take effect immediately, and you may be charged a prorated amount or the full difference between plans. A downgrade will generally take effect at the end of your current billing period unless otherwise stated. Changing to a lower plan may result in reduced: features; usage limits; storage; number of cards or programs; messaging capability; integrations; or support access. You are responsible for reviewing the limits of the new plan before making a change. 11. Cancelling your subscription You may cancel your subscription using the cancellation method provided in the platform or by contacting us through the contact details provided on the On Pulse website. Your cancellation request must be received before the next renewal date to avoid the next recurring charge. Cancellation generally takes effect at the end of the billing period you have already paid for, unless: we agree to an earlier cancellation; your account is closed for a serious breach; the subscription is subject to a separately agreed minimum term; or the law requires a different outcome. Deleting an app, removing a card from a digital wallet, stopping use of the platform or cancelling a third-party service does not automatically cancel your On Pulse subscription. You are responsible for confirming that your subscription has been successfully cancelled. 12. What happens after cancellation After your subscription ends: your access to paid features may stop; your cards, programs, campaigns or integrations may stop working; messages and notifications may no longer be available; your account may become read-only or inaccessible; customer-facing links or digital wallet content may be disabled; and your information may eventually be deleted. You should export or keep copies of important records, customer information, creative material and content before your subscription ends wherever practical. We are not responsible for loss caused by your failure to retain information before cancellation or account closure. 13. Data retention after cancellation We may retain account information for a reasonable period after cancellation to: allow account recovery where available; complete billing and accounting obligations; resolve disputes; prevent fraud or misuse; maintain security records; meet legal or regulatory requirements; and support legitimate business records. After the relevant retention period, information may be deleted or de-identified. Some information may remain in backups, transaction records, logs or legally required records for longer periods. 14. Refunds Except where required by law, subscription payments are generally non-refundable once a billing period has started. We do not generally provide refunds or credits for: change of mind; failure to cancel before renewal; partial use of a subscription period; unused features, cards, messages or allowances; temporary interruptions; third-party service restrictions; failure to use the platform; removing digital wallet cards; or closing your business, event, promotion or program. Nothing in this policy limits any right to a refund, replacement, repair or other remedy that you may have under the Australian Consumer Law or another law that cannot be excluded. If you believe you are entitled to a refund, please contact us with details of the issue and the payment concerned. 15. Refund timing If we approve a refund, it will generally be returned to the original payment method. Processing times may depend on the payment provider, financial institution and payment method. We are not responsible for delays caused by banks or third-party payment providers. 16. Setup, customisation and professional services Some On Pulse services may include setup, design, migration, customisation, consulting, training, integration or other professional services. These services may be: included in a subscription; charged as a separate one-off fee; charged according to time spent; included within an agreed package; or covered by a separate proposal or agreement. Unless otherwise agreed, work may begin after payment or acceptance of the relevant proposal. Fees for completed or partially completed professional services are generally non-refundable except where required by law. 17. Third-party costs Your use of On Pulse may involve third-party services or costs that are not included in your subscription. These may include: payment processing fees; SMS, email or messaging charges; automation platform fees; integration fees; Apple Wallet or Google Wallet provider costs; domain, website or hosting costs; design or development services; advertising or promotional costs; and fees charged by other software providers. You are responsible for understanding and paying any third-party fees that apply to your setup or use. We are not responsible for price changes, billing disputes or service restrictions imposed by third-party providers. 18. Usage limits and fair use Subscription plans may include limits relating to: number of cards, programs or account users; customer or member records; messages, notifications or communications; storage or data use; integrations; support requests; transactions or redemptions; or other platform resources. You must use the platform reasonably and in accordance with the limits of your plan. We may contact you, restrict usage, require an upgrade or apply additional charges where your use: exceeds your plan limits; creates unusually high costs; affects platform stability or performance; appears automated, abusive or excessive; creates a security or compliance risk; or is materially different from normal use of the selected plan. Where practical, we will discuss significant ongoing overuse with you before applying restrictions or additional fees. 19. Platform availability We aim to keep On Pulse reliable and available, but uninterrupted access cannot be guaranteed. The platform may be unavailable because of: planned maintenance; security updates; software releases; technical faults; internet or telecommunications failures; third-party provider outages; emergency maintenance; or events outside our reasonable control. Temporary interruption does not automatically entitle you to a refund or credit unless required by law or separately agreed. 20. Suspending or closing an account We may suspend, restrict or close an account where: payment is overdue; you breach our Terms & Conditions; your use creates a legal, safety, privacy or security risk; your use may harm another person, the platform or our providers; a third-party provider requires us to act; fraudulent or unauthorised activity is suspected; or we are required to do so by law. Where reasonable, we will give you an opportunity to correct the issue before permanently closing the account. Suspension does not automatically remove your responsibility to pay amounts already due. 21. Closing or discontinuing the platform We may decide to discontinue a subscription plan, feature or the On Pulse platform. Where practical, we will provide reasonable notice if a change materially affects active paid subscriptions. If we permanently discontinue a prepaid service before the end of a paid period, we may provide a reasonable transition, credit or prorated refund where appropriate and required by law. 22. Changes to this policy We may update this Subscription & Billing Policy when our plans, pricing, payment processes, services, providers or legal obligations change. The latest version will be published through the platform or on the On Pulse website. If a change materially affects an existing paid subscription, we will take reasonable steps to provide notice before it applies. 23. Australian law This policy is governed by the laws of South Australia, Australia. Nothing in this policy excludes any right or guarantee that cannot legally be excluded. 24. Questions?
